Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the ada Agents service (the "Service") operated by ada ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using our Service you agree to be bound by these Terms. If you disagree with any part of these terms then you may not access the Service.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

  • Account means a unique account created for You to access our Service or parts of our Service.
  • AI Providers refers to third-party artificial intelligence service providers, including OpenAI and Anthropic, whose services are integrated into our platform.
  • Company (referred to as either "the Company", "we", "us" or "our") refers to ada Learning GmbH, with servers hosted in Frankfurt, Germany.
  • Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.
  • Data Controller means the entity that determines the purposes and means of processing personal data. In relation to our Service, ada Learning GmbH acts as the data controller.
  • Data Processor means an entity that processes personal data on behalf of the data controller. Our AI Providers may act as data processors when handling your data.
  • EEA means the European Economic Area.
  • GDPR means the General Data Protection Regulation (EU) 2016/679.
  • Personal Data has the meaning given to it under GDPR and refers to any information relating to an identified or identifiable natural person.
  • Service refers to the ada Agents platform.
  • You refers to the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Educational Use and Commercial Licensing

Educational Purpose

IMPORTANT: This service is primarily intended for educational and demonstration purposes. The current terms and conditions apply to educational, research, and non-commercial use of our platform.

Commercial Use

If you intend to use our Service for commercial purposes, business operations, or any revenue-generating activities, these standard terms may not be sufficient for your needs. Commercial use requires separate licensing terms and agreements.

Acknowledgment

User Accounts

Account Creation

When You create an account with us, You must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on our Service.

You are responsible for safeguarding the password that You use to access the Service and for all activities that occur under Your account, whether by You or third parties.

Account Responsibilities

You agree not to disclose Your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Permitted Uses

You may use our Service for lawful purposes only. You agree to use the Service in compliance with all applicable laws and regulations.

Prohibited Uses

You may not use our Service:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate

Third-Party AI Services

AI Service Providers

Our Service utilizes artificial intelligence technologies provided by third-party services, including but not limited to OpenAI and Anthropic ("AI Providers"). By using our Service, you acknowledge and agree that your inputs and interactions may be processed by these AI Providers according to their respective terms of service and privacy policies.

AI Service Limitations

You understand and acknowledge that:

  • AI-generated responses may not always be accurate, complete, or appropriate for your specific needs
  • The AI services are provided by third parties and we do not guarantee their availability, accuracy, or performance
  • AI responses should be reviewed and verified before use in any critical applications
  • We are not responsible for any decisions made based on AI-generated content

Third-Party Terms

Your use of our Service is also subject to the terms of service and privacy policies of our AI Providers:

  • OpenAI Terms of Use and Privacy Policy
  • Anthropic Terms of Service and Privacy Policy

You are responsible for reviewing and complying with these third-party terms. In case of any conflict between our Terms and the AI Providers' terms, their terms shall prevail regarding the use of their respective services.

Personal Data and Privacy Responsibility

Personal Data Input Disclaimer

IMPORTANT: You are strongly advised NOT to input, upload, or share any personal data, sensitive information, or confidential content through our Service. This includes but is not limited to:

  • Social Security numbers, passport numbers, or other government-issued identification
  • Credit card numbers, bank account details, or financial information
  • Personal addresses, phone numbers, or private contact information
  • Medical records, health information, or biometric data
  • Passwords, API keys, or authentication credentials
  • Proprietary business information or trade secrets
  • Any information that could identify specific individuals

User Responsibility for Data

By using our Service, you acknowledge and agree that:

  • You are solely responsible for any data, information, or content you provide to the Service
  • You will not input personal data or sensitive information of yourself or others

  • You will immediately cease using the Service if you accidentally input sensitive information

Data Processing by AI Providers

Data and content you submit through our Service may be processed by our AI Providers (OpenAI and Anthropic) according to their respective data handling practices. Under GDPR, these providers may act as data processors when handling your data on our behalf. We recommend reviewing their privacy policies to understand how your data may be used, stored, or processed.

Cross-Border Data Processing: When you use our AI-powered features, your data may be transferred outside the EEA to our AI Providers' systems. This processing is conducted under appropriate safeguards and with your consent when using these features.

Content

Your Content

Our Service may allow You to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, You grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You also grant us the right to transmit your Content to our AI Providers for processing.

Content Restrictions

You may not post Content that:

  • Contains personal data, sensitive information, or confidential content as described above
  • Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy
  • Infringes any patent, trademark, trade secret, copyright, or other proprietary rights
  • Contains software viruses or any other computer code designed to interrupt, destroy, or limit functionality
  • Impersonates any person or entity or misrepresents your affiliation with a person or entity
  • Violates the terms of service of our AI Providers

Data Protection and GDPR Compliance

General Data Protection Regulation (GDPR)

If you are a resident of the European Economic Area (EEA), you have certain data protection rights under the General Data Protection Regulation (GDPR). We are committed to protecting your personal data and respecting your privacy rights.

Data Processing Location

Our servers are hosted in Frankfurt, Germany, within the European Union. This ensures that any data processed through our Service remains within the EU jurisdiction and is subject to EU data protection laws.

  • The AI Providers' own data protection measures and certifications
  • Your explicit consent when using our AI-powered features

This is another reason why we strongly recommend against inputting personal data into our Service.

In no event shall the Company, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

AI Service Liability

You acknowledge and agree that:

  • We are not liable for any errors, inaccuracies, or omissions in AI-generated content
  • We are not responsible for any decisions made based on AI responses or recommendations
  • We disclaim all liability for the availability, performance, or security of third-party AI services
  • Any claims related to AI service performance should be directed to the respective AI Providers
  • We are not liable for any data processing, storage, or handling by our AI Providers
  • You use AI-generated content at your own risk and should verify its accuracy before relying on it

Personal Data Liability

Given our strong recommendation against inputting personal data, you acknowledge that:

  • Any personal or sensitive information you input is done at your own risk
  • We are not liable for any unauthorized access, disclosure, or misuse of personal data you choose to input
  • You release us from all claims related to personal data processing by third-party AI services
  • You are solely responsible for any privacy violations or data breaches resulting from your input choices

Disclaimer

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, this Company excludes all representations, warranties, conditions and terms whether express or implied, statutory or otherwise.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
